Goods repurchase agreement

This agreement for the purchase of goods in a foreign online store includes Bayer’s offer to use the services of purchasing goods in a foreign online store and the Buyer’s acceptance, expressed in payment for the goods according to the details specified by Bayer.

Bayer is a party to this Agreement, an individual who provides services for the purchase of goods in foreign online stores in the interests of the Buyer.
Buyer is an individual or legal entity who uses Bayer’s services and pays for the goods and commission according to the details specified by Bayer.

General provisions
1.1. Bayer provides the Buyer with services for purchasing goods from foreign online stores in accordance with the terms of this Agreement.

1.2. This Agreement is a public offer. Buyer has the right to refuse to fulfill obligations under this offer until payment by the Buyer without giving reasons.

1.3. The Buyer, agreeing to the terms of cooperation of the Parties set out in this Agreement, assumes responsibilities for their unconditional compliance and bears full independent responsibility for such compliance. Payment for the goods means the Buyer’s full agreement with the terms of purchase of the goods presented in this Agreement.

1.4. The services provided for in this Agreement are intended exclusively for individuals and are provided when purchasing goods for personal use. The buyer undertakes to use the goods ordered through Bayer exclusively for personal purposes.

1.5. The buyer independently assesses the risks and makes a decision on cooperation with Bayer, taking into account the procedure and conditions of such cooperation.

Procedure for the provision of services
2.1. After receiving information from the Buyer on the name, quantity and color of the goods, Bayer makes a calculation of the cost of the goods and the cost of delivery to the Buyer’s shipping address and other terms of purchase.

2.2. The goods are purchased by Buyer to a warehouse in Japan, where they can be combined with other Buyer orders. After this, the goods are sent to Russia.

2.3. Buyer does not guarantee the availability of goods, their quantity, size, etc. in a foreign online store. The buyer bears full responsibility for the correct choice of size (clothes, shoes, etc.) and undertakes to correctly indicate the required size that Bayer must purchase.

2.4. Bayer does not check goods received from a foreign online store for compliance with specifications, absence of obvious or hidden defects, visible damage and other defects of the goods, with the exception of the agreed services, which are paid according to Bayer’s price list. The buyer independently checks the goods upon receipt. If damage to the goods is detected, the Buyer contacts Bayer to provide complete information on the defects of the goods, and also attaches a photo of the specified discrepancies with the ordered goods. If transport damage is detected or an erroneous product is sent by the online store, the situation is resolved by the Parties through negotiations.

2.5. Returns and exchanges of goods purchased by the Buyer through Bayer are not made by Bayer.

2.6. The buyer has no right to order goods through Bayer that are prohibited by customs or other legislation of import/export countries, carriers and/or shipping addresses. Bayer is not responsible for the actions of foreign online stores, customs and other government authorities.

2.7. Bayer acts on behalf of the Buyer and in his interests. The Buyer is responsible for all actions related to the purchase, delivery and customs clearance of goods. In the event of loss, damage or confiscation of the parcel by the customs services of any country, Bayer is not responsible. There are also risks that during the processing and delivery of goods there will be changes in customs rules, laws, sanctions lists, and the like. The Buyer is also responsible for these risks.

2.8. Bayer guarantees confirmation of the purchase by providing a screenshot to the client, and also informs that the goods have been sent to the destination country and provides a tracking number. Additional customer requirements are paid according to Bayer's price list.

Delivery procedure
3.1. The goods are purchased by Buyer to a warehouse in Japan, where they can be combined with other Buyer orders.

3.2. After this, the goods are sent to a transit warehouse in Vladivostok or to a transit warehouse in a third country (Kazakhstan or Kyrgyzstan).

3.3. After the parcel arrives at the transit warehouse, the parcels are transferred for delivery to the transport company and sent to the client’s address or order pick-up point.

3.4. If parcels are sent to a transit warehouse in Vladivostok, delivery is carried out by sea. If parcels are sent to a transit warehouse in a third country, delivery is carried out by postal or transport companies.

3.5. After the parcel arrives at a transit warehouse in Vladivostok or at a transit warehouse in a third country (Kazakhstan or Kyrgyzstan), the parcels are transferred for delivery to a transport company and sent before customer addresses or order pick-up points.

Payment procedure for goods
4.1. The buyer is obliged to promptly pay the amount specified by Bayer, otherwise the cost of the goods, delivery to the dispatch warehouse, Bayer's commission and other terms of purchase may be changed by Bayer unilaterally. Bayer does not influence the exchange rate, the price of goods in a foreign online store and cannot fix it until the moment of payment for the goods.

4.2. The cost calculation may not take into account some commissions or hidden fees that may only be revealed at the payment stage. All such additional charges will be billed separately to Buyer.

4.3. Payment is made in two parts: first you pay for the goods, the Bayer commission and delivery within Japan. After the goods arrive at the warehouse, are packaged, combined with other orders, weighed and measured, the cost of international delivery is billed. After paying the delivery cost, the parcel is sent to a warehouse in Vladivostok or to a transit country (Kyrgyzstan or Kazakhstan).

4.4. If before the Buyer pays for the goods to Bayer, the price in a foreign online store has increased, then the goods are not redeemed and the funds are returned to the Buyer (if they have already been actually transferred), or the Buyer additionally transfers funds to Bayer’s details.

4.5. The amount indicated by Bayer for payment includes the cost of the goods in a foreign online store, Bayer’s commission of 10%-15% (but not less than 1000 Yen per order) and the cost of delivering the goods, unless otherwise specified by Bayer. The purchase of goods on deferred payment terms is not carried out and is made with 100% payment to the specified Bayer details, unless other installments are agreed upon personally with Bayer.

4.6. Payment for the goods is made by the Buyer to Buyer in Russian rubles, unless another method is agreed upon in advance. The cost of goods listed on a foreign website is converted into rubles at the rate specified by Bayer. The Buyer is obliged to make payments to the Buyer using the details sent by the Buyer, only using accounts and bank cards belonging to the Buyer.

Final provisions
5.1. The relationship between Buyer and the Buyer is governed by this Agreement. The buyer undertakes to provide Bayer with complete and accurate information about himself. If Bayer has doubts about the reliability of the information provided by the Buyer, Bayer has the right to suspend fulfillment of obligations. The buyer undertakes to provide passport data and TIN for the customs declaration.

5.2. The Parties are released in whole or in part from fulfilling their obligations as a result of the occurrence of force majeure circumstances (force majeure circumstances) associated with extraordinary events that could not be foreseen by the Parties and which could not be prevented by reasonable measures: flood, earthquake, fire, tsunami, explosion , storm, epidemic, any other natural phenomena, war or hostilities, and so on.

5.3. Disputes, disagreements and conflict situations related to the implementation of the terms of this Agreement are resolved by the Parties through negotiations.

5.4. The Buyer confirms his consent to the collection and transfer of personal data (last name, first name, patronymic, email address, phone number, other information about the Buyer) to third parties solely for the purpose of fulfilling the terms of this Agreement.

5.5. This Agreement may be amended and/or supplemented by Bayer unilaterally without prior agreement with the Buyer
